General terms and conditions of the Nordsee-Laboratorium, Hamburg
The following general terms and conditions apply to deliveries from the Nordsee-Laboratorium. By placing an order, these conditions are deemed to be accepted in full by the buyer or client.
The buyer's or client's purchasing conditions or other special agreements are only binding for the Nordsee-Laboratorium if they are expressly confirmed in writing by the Nordsee-Laboratorium for each individual order. Orders sent to the Nordsee-Laboratorium by the buyer or client are only considered accepted after delivery has taken place or after written confirmation by the Nordsee-Laboratorium.
1) The list prices valid on the day of delivery plus the current statutory VAT are binding for pricing. Shipping is carriage forward ex works plus postage or freight and packaging at cost.
2) Invoices from the Nordsee-Laboratorium are due for payment without deduction 10 days after the date of issue.
3) For payments made after the due date, interest of 3% above the Bundesbank discount rate may be charged, even if the buyer or client is not in default. In the event of late payment, the buyer or client is also obliged to compensate for any further damage. In particular, he or she bears the costs of collecting or enforcing the claims. In the event of late payment, the Nordsee-Laboratorium is entitled to demand all outstanding payments immediately, without any payment deadline. This also applies if the ordered goods have not yet been delivered in full. If goods have not yet been delivered in this case, the Nordsee-Laboratorium can demand compensation for non-performance instead of performance. The provisions agreed for default also apply in the event of insolvency, the initiation of a settlement or bankruptcy proceedings and the violation of other terms and conditions.
4) If the buyer or client remains silent on the acceptance after the expiry of a legally reasonable grace period, refuses acceptance or expressly declares that he does not wish to accept, the Nordsee-Laboratorium can withdraw from the contract and/or demand compensation for non-fulfillment. As compensation for non-fulfillment in the event of a delay in acceptance, the Nordsee-Laboratorium can demand 50% of the order price without deductions, unless the buyer or client proves that no damage was caused at all or that the damage was not as high as the flat rate. Otherwise, the Nordsee-Laboratorium reserves the right to claim higher, proven damages.
5) Deliveries by the Nordsee-Laboratorium are subject to retention of title until full payment has been made by the buyer or client. This also applies to goods that have been further processed.
6) Force majeure, official measures or operational disruptions entitle the Nordsee-Laboratorium to extend the agreed delivery period by the duration of the disruption. If the reasons lead to an inability to perform, the Nordsee-Laboratorium can withdraw from the contract. Claims for damages against the Nordsee-Laboratorium are excluded in all of these cases.
7) The risk is transferred to the buyer or customer when the goods are dispatched from the Hamburg factory. Complaints must be reported to the Nordsee-Laboratorium by registered mail within 10 days of receipt of the goods. Small, commercially available and technically unavoidable deviations in quality do not constitute grounds for claims for damages. The Nordsee-Laboratorium will, however, replace defective goods if complaints are understandable and accepted by the Nordsee-Laboratorium. Claims for compensation for any further damage are excluded.
8) Hamburg is expressly agreed as the place of jurisdiction for bills of exchange and check claims. Hamburg is agreed as the place of performance and place of jurisdiction. In the case of non-merchants or minor merchants, Hamburg is agreed as the place of jurisdiction if claims are asserted by means of a dunning procedure.
9) These terms and conditions supersede all previously applicable terms and conditions.
